Terms of Service

General

These Terms and Conditions ('Terms'), along with the Privacy Policy ('Policy'), constitute the Agreement established by and between a specific company of instaxchange platform operating group of companies (also referred to as 'We', 'Us' or 'Our') and the User (also referred to as 'You' or 'Your') by virtue of the User using the Website and/or the Services provided by the relevant Platform Operator.

The Services are provided by different legal entities within the Instaxchange group of companies, depending on the User's jurisdiction, residence, and the currency or services used.

Sheik sp. z o.o., a Polish private limited liability company registered under the laws of the Republic of Poland, with its registered address in Poland. Sheik sp. z o.o. is authorized to provide virtual currency exchange services in accordance with applicable Polish and European Union law and provides Services to all Users except for Users residing in Canada and Services provided for CAD currency.

SANDY CLIFF PAYMENTS LTD., a Canadian private limited liability company registered under incorporation number BC1436747, with the address 44322 Yale Rd, Unit 3b #155, Chilliwack BC V2R 4H1, Canada. SANDY CLIFF PAYMENTS LTD. is registered as a money services business in Canada, with registration number M23112610, authorized to deal in virtual currencies and provides Services to Users residing in Canada and Services provided for CAD currency.

By signing up through the Website You agree that You have read, understood, and accept all of the Terms. If You do not agree or fail to adhere to the Terms or any other rules of any of the Services, You are not entitled to use the Services.

Accepting these Terms is a condition for using the Services. Refusal to accept any modifications to the Terms shall preclude the User from using the Services. All Users are obliged to comply with these Terms.

The Platform Operator reserves the right to update or amend these Terms at any time, at its sole discretion. In the event of any changes, the date of the last update will be indicated at the beginning of the Terms. By continuing to access or use the Services after the updated Terms have been published, the User is deemed to have accepted the updated Terms. Users are encouraged to review this page regularly to remain informed of any changes.

Before using the Services, the User must carefully assess whether purchasing, selling, or exchanging Cryptocurrencies is appropriate in light of the User's financial situation, objectives, and level of experience. Transactions involving Cryptocurrencies involve a high degree of risk, including the risk of loss, and the value of Cryptocurrencies is subject to significant volatility.

The Website and the Services are NOT ADDRESSED TO AND MAY NOT BE USED BY:

• natural persons who are under the age of eighteen (18);

• persons who are subject to any jurisdiction where the use of the Services is prohibited by applicable laws or regulations;

• persons whose access to the Services has previously been suspended or terminated.

Definitions

'Account' – any account opened by a User with the Platform Operator, through which the User may access and use the Services.

'Conversion Rate' – the price or exchange rate of one unit of a supported Cryptocurrency, as determined by the Platform Operator. The Conversion Rate is derived from multiple factors, including but not limited to direct and indirect asset acquisition costs, market risk exposure during transaction execution, and liquidity providers used by the Platform Operator. The User acknowledges that the Conversion Rate may change after an Order is placed.

'Cryptocurrency' – a digital representation of value that does not have the legal status of currency or money, is not issued or guaranteed by any central bank or public authority, is not necessarily linked to a fiat currency, but is accepted by natural or legal persons as a means of exchange and can be transferred, stored, and traded electronically.

'Fiat Payments' – a Service enabling Users to purchase Cryptocurrencies using supported credit or debit cards, subject to applicable fees as disclosed on the Website.

'Know Your Customer' or 'KYC Process' – the process of identifying and verifying a User's identity and applying customer due diligence measures when opening an Account and on an ongoing basis, in accordance with applicable laws. Identity verification may be conducted using only documents accepted by the Platform Operator.

'Know Your Transaction' or 'KYT Process' – the process of monitoring and screening Transactions in order to assess their compliance with applicable legal, regulatory, and risk management requirements.

'Order' – any instruction submitted by a User through the Website or Platform, including but not limited to:

(i) the purchase of Cryptocurrency by the User via the Platform;

(ii) the sale of Cryptocurrency by the User via the Platform; or

(iii) any other instruction submitted in connection with the use of the Services.

'Exchange Service' – a regulated cryptocurrency exchange service through which Users may buy or sell supported Cryptocurrencies in exchange for supported fiat currencies, exchange supported fiat currencies for supported Cryptocurrencies, or exchange supported Cryptocurrencies for other supported Cryptocurrencies. The list of supported fiat currencies and Cryptocurrencies is available on the Website.

'Services' – all services made available to Users through the Platform by the Platform Operator from time to time.

'Taxes' – any taxes, levies, duties, or similar governmental assessments of any nature, including value-added, sales, use, or withholding taxes, imposed by any jurisdiction.

'Terms' – these Terms and Conditions, including all sections and documents incorporated by reference, as amended from time to time.

'User' – any natural or legal person who accesses or uses the Website and/or the Services.

'Wallet' – a virtual currency wallet owned or controlled by the User.

'Website' – the website available at https://instaxchange.com.

Services Description

The Services enable the User to carry out various transactions involving Cryptocurrencies through the Platform.

The Platform Operator retains the exclusive right to determine the functionality, scope, subject matter, and availability of the Services, as well as to suspend, restrict, or discontinue the provision of the Services, in whole or in part, at its discretion.

The Platform Operator is solely authorised to determine the content, structure, and nature of the Services and may add, modify, or remove any elements of the Services at any time.

Materials and information made available through the Services may contain technical, typographical, or content-related errors. The Platform Operator does not warrant that any such materials are accurate, complete, or up to date. The Platform Operator may make changes to the Services or related materials at any time without prior notice and does not undertake any obligation to update them.

Any new Services or features introduced by the Platform Operator after the User has accepted these Terms shall be governed by these Terms, unless expressly stated otherwise.

Exchange Services

The Services enable the User to buy or sell supported Cryptocurrencies against supported Fiat currencies and to exchange supported Cryptocurrencies for other supported Cryptocurrencies at the applicable Conversion Rate.

Where Fiat Payments are used, the User may be required to complete a payment in accordance with the instructions provided through the Platform, including, where applicable, the issuance of a payment request or invoice specifying the amount and payment details. If the required payment is not completed within the time period indicated, the User's request to execute the transaction may be automatically cancelled.

Once the required payment has been successfully received and confirmed, the transaction will be processed in accordance with the applicable payment method and operational procedures. Processing times may vary depending on the payment method used and external factors beyond the Platform Operator's control.

Cryptocurrencies purchased through the Platform may only be transferred to a Wallet designated by the User and under the User's control. Fiat funds resulting from the sale of Cryptocurrencies may only be transferred to a payment account or destination designated by the User and accepted by the Platform.

The Platform Operator does not guarantee immediate execution of any transaction and does not warrant that transactions will be completed within a specific timeframe.

Orders

The Platform Operator shall use reasonable efforts to process Orders in a timely manner. However, no representations or warranties are made regarding the time required to complete the processing of any Order, as processing times may depend on factors beyond the Platform Operator's control, including but not limited to payment methods, network conditions, third-party service providers, and technical constraints.

An Order shall be deemed completed when:

(i) the applicable amount of Cryptocurrency has been transferred to the Wallet designated by the User, in the case of a purchase; or

(ii) the applicable amount of Fiat currency has been transferred to the payment account or destination designated by the User, in the case of a sale.

The Platform Operator does not guarantee that any Order will be accepted or executed. The User acknowledges and agrees that the Platform Operator shall not be liable for any losses or damages arising out of or relating to:

(i) any inaccuracy, defect, or omission in pricing or exchange rate data;

(ii) any error or delay in the transmission of such data; or

(iii) any interruption or unavailability of such data.

The User acknowledges that if inaccurate, incomplete, or false information is provided when placing an Order (including, without limitation, payment details belonging to a third party), and such information results in the inability to complete the Order, any fees, costs, or charges associated with the rejection, reversal, or refund of the transaction shall be borne by the User.

The Platform Operator reserves the right to temporarily restrict, hold, or delay the processing or settlement of Cryptocurrencies or Fiat funds associated with an Order where reasonably necessary for security, fraud prevention, system integrity, or compliance purposes, including in the event of suspected technical attacks, system abuse, or unlawful activity. Where applicable, such funds shall be returned to the User via the same payment method used, subject to applicable laws and operational constraints.

Limits

The User may be subject to transaction or Order limits determined on the basis of the User's completed customer due diligence level, transaction profile, and other relevant risk and compliance factors.

Limits applicable to Cryptocurrencies and Fiat currencies may be expressed by reference to a common base currency or equivalent value, as determined by the Platform Operator for operational and compliance purposes.

Where a User exceeds or attempts to exceed the applicable limits, the relevant transaction may be rejected, suspended, or subject to additional review. In such cases, the Platform Operator may request additional information or documentation from the User in order to assess whether the transaction may be processed in accordance with applicable laws, regulations, and internal compliance requirements.

Revoking or Amendment of Orders

The User acknowledges that the execution of Orders is subject to the operational processes and timing of the Platform Operator. Due to the nature of the Services, Orders may be executed immediately or may become irreversible once processing has commenced.

A request to revoke or amend an Order may be submitted by the User through the communication channels made available on the Platform, in accordance with the applicable procedures. The submission of such a request does not guarantee that the Order can be revoked or amended.

The Platform Operator does not guarantee that any Order can be revoked or amended and reserves the right to accept or reject such requests based on operational feasibility, transaction status, security considerations, and compliance requirements. The Platform Operator may request additional information or documentation, including customer due diligence or transaction-related information, in order to assess the request.

Where a request to revoke or amend an Order is approved, additional fees or costs may apply and shall be borne by the User.

All Orders involving the sale of Cryptocurrencies against Fiat currencies are final once submitted and may not be revoked or amended by the User.

Refunds

A request for a refund may be submitted by the User through the communication channels made available on the Platform or via email [email protected], in accordance with the applicable procedures. The submission of a refund request does not guarantee that a refund will be granted.

The Platform Operator may request additional information or documentation, including customer due diligence or transaction-related information, in order to assess the refund request and to comply with applicable legal and compliance obligations.

Refunds are not available for all Orders. Any decision to approve a refund shall be based on the transaction status, operational feasibility, applicable laws and regulations, and internal compliance requirements.

Where a refund is approved, it shall be processed using the applicable Conversion Rate at the time of execution of the refund, unless otherwise required by applicable law. Any fees, charges, or costs associated with the refund may be deducted from the refunded amount or charged separately to the User, where applicable.

Chargebacks

Prior to initiating any chargeback or payment dispute with a bank, card issuer, or payment service provider, the User is expected to contact the Platform Operator through the communication channels made available on the Platform or via the email [email protected] in order to seek resolution of the relevant issue.

The Platform Operator may investigate any chargeback or payment dispute initiated by the User and may provide relevant information to the issuing bank, payment service provider, or other competent party regarding the status of the related Order or Service, including whether such Order or Service has been executed, cancelled, or reversed.

During the investigation of a chargeback or payment dispute, the Platform Operator reserves the right, where reasonably necessary for security, fraud prevention, or compliance purposes, to temporarily restrict access to the User's Account or suspend the processing or settlement of transactions associated with the disputed payment.

Nothing in this section limits or affects any statutory rights or claims the User may have against their bank, card issuer, or payment service provider under applicable law.

Registration and Account

In order to access and use the Services, the User must create an account on the Platform ("Account"). The User may open only one Account and only if it is lawful to do so under the laws and regulations applicable in the User's country of residence.

By creating an Account, the User represents and warrants that the creation and use of the Account does not violate any applicable laws, regulations, sanctions, or other legal requirements binding upon the User.

By creating an Account, the User agrees to:

• provide accurate, truthful, current, and complete information when creating or updating the Account;

• promptly update Account information in the event of any changes, and in any case no later than within two (2) weeks from such change;

• maintain the security and confidentiality of login credentials and restrict access to the Account and the devices used to access the Platform;

• promptly notify the Platform Operator if the User becomes aware of, or reasonably suspects, any unauthorized access, security breach, or misuse of the Account;

• refrain from any illegal, fraudulent, defamatory, threatening, abusive, or harassing conduct;

• not impersonate any other person or entity;

• not conceal or misrepresent the User's location through the use of IP proxying, VPNs, or other technical means intended to circumvent geographic or legal restrictions;

• not violate, misappropriate, or infringe any intellectual property rights, rights of publicity, or other proprietary rights of the Platform Operator or any third party;

• accept full responsibility for all activities carried out through the Account, whether authorized or unauthorized;

• comply with all applicable laws, regulations, and regulatory requirements in connection with the use of the Services.

KYC Process

Upon registration, the Platform Operator conducts an identification and verification process ("Know Your Customer" or "KYC") in order to comply with applicable anti-money laundering, counter-terrorist financing, sanctions, and other mandatory legal and regulatory requirements.

The Platform Operator reserves the right to restrict access to the Website or limit the availability of certain Services for Users who have not successfully completed the KYC process. If a User refuses or fails to provide the documents or information required for KYC purposes, the Platform Operator may, at its sole discretion, refuse to establish a business relationship, suspend or terminate the provision of Services, and/or restrict or close the User's Account.

The Platform Operator may also conduct additional verification or due diligence checks in relation to specific transactions or activities, where required by applicable law or internal compliance procedures. Such checks may result in delays in the processing of transactions. The Platform Operator shall not be liable for any delays arising from the performance of legally required or compliance-related verification procedures, nor for any direct or indirect losses resulting from such delays.

The User undertakes to provide accurate, complete, current, and truthful information and documents for the purposes of identification and verification. The submission of false, misleading, forged, or counterfeit documents or information may be treated as fraudulent activity and may result in immediate suspension or termination of the Account, as well as reporting to competent authorities where required by law.

The User hereby authorizes the Platform Operator to conduct, directly or indirectly (including through third-party service providers), any inquiries, checks, or verifications deemed necessary to confirm the accuracy and completeness of the information provided for KYC and ongoing due diligence purposes. The Platform Operator may request additional information or documentation after onboarding and throughout the duration of the business relationship in order to comply with applicable legal and regulatory obligations.

Any personal data processed for KYC purposes shall be limited to what is necessary and shall be handled in accordance with applicable data protection laws, using appropriate technical and organizational security measures.

The Platform Operator may engage third-party service providers to perform identification, verification, screening, and monitoring activities as part of the KYC process.

KYT Process

The Platform Operator conducts transaction monitoring and screening ("Know Your Transaction" or "KYT") on all transactions processed through the Platform. This includes, without limitation, the analysis of transaction counterparties, virtual asset wallets involved in transactions, transaction patterns, and the source and destination of funds.

As part of the KYT process, the Platform Operator may request additional information or documentation from the User and/or other relevant parties in order to understand the purpose, nature, and economic rationale of a transaction and to assess potential risks related to money laundering, terrorist financing, sanctions, or other illicit activities.

Any personal data processed or transferred in connection with the KYT process shall be limited to what is strictly necessary and shall be protected by appropriate technical and organizational security measures in accordance with applicable data protection laws.

The Platform Operator may engage third-party service providers to perform transaction monitoring, blockchain analytics, screening, and other KYT-related activities.

Account Termination and Closing

The User may request the closure of their Account at any time. Upon closure of the Account, the User will no longer be able to access the Services using their existing login credentials.

To request the closure of an Account, the User must submit a request via the support channels made available on the Website or from the contact details associated with the Account. The Platform Operator may require the User to complete additional verification steps, including two-factor authentication or the provision of additional KYC-related information, prior to approving the Account closure request.

Once the request for Account closure has been approved, the User shall be granted a reasonable period of time, not exceeding ten (10) business days, to complete or cancel any pending transactions and withdraw any remaining funds. After this period, the Account shall be closed and the User may lose access to any funds that have not been withdrawn, subject to applicable law.

The User is solely responsible for initiating the closure of their Account and for ensuring that all necessary actions are taken prior to closure.

The Platform Operator reserves the right to suspend, restrict, or terminate an Account, with or without prior notice where permitted by applicable law, in the event of:

• a material or repeated breach of these Terms or any applicable internal policies;

• suspected or confirmed illegal, fraudulent, or abusive use of the Services;

• failure to comply with applicable legal, regulatory, AML/CFT, sanctions, or compliance requirements;

• submission of false, misleading, incomplete, or inaccurate information;

• the User posing an unacceptable legal, regulatory, or fraud risk.

The Platform Operator may temporarily suspend access to an Account or the Services while investigating suspected breaches, risks, or non-compliance. Such suspension may remain in place until the relevant circumstances have been clarified.

The Platform Operator shall not be liable for any losses or damages suffered by the User as a result of the suspension, restriction, or termination of the Account where such action is taken in accordance with these Terms, applicable law, or due to the User's fault or non-compliance.

Once an Account has been closed, it cannot be re-opened.

Privacy Policy

Please refer to the Privacy Policy for information on how personal data of Users is collected, used, processed, and disclosed in connection with the use of the Website and the Services.

Fees

The Platform Operator reserves the right to charge fees, or to provide certain Services free of charge, at its sole discretion. The User agrees to pay all applicable fees for the use of the Services as set forth on the Website, as published, amended, and updated from time to time.

All applicable fees will be clearly displayed to the User prior to using the relevant Services, executing transactions, or performing any other operations through the Website.

Taxes

The User is solely responsible for determining whether, and to what extent, any taxes, duties, levies, or similar governmental charges apply to any transactions conducted through the Website or in connection with the Services.

The User is responsible for the withholding, collection, reporting, and payment of any applicable taxes to the relevant tax authorities in accordance with applicable law.

Risks Associated with the Services

Any activity involving Cryptocurrencies and related services involves significant risks. Prior to using the Services, the User should carefully consider whether such activities are suitable in light of their financial situation, experience, and risk tolerance.

The User acknowledges and agrees that:

• the value of Cryptocurrencies may be highly volatile and subject to significant fluctuations, which may result in partial or total loss of value;

• Cryptocurrencies and related technologies may be subject to technical risks, including, without limitation, vulnerabilities, bugs, protocol changes, forks, or failures of underlying networks;

• Cryptocurrencies are not issued, backed, or guaranteed by any central bank or public authority and do not necessarily constitute legal tender;

• regulatory, legal, or tax treatment of Cryptocurrencies may change, which may adversely affect the use, transfer, or value of Cryptocurrencies and the availability of the Services.

The User is solely responsible for assessing the risks associated with the use of the Services. If the User is uncertain about any aspect of the Services or the risks involved, the User is encouraged to seek independent legal, financial, tax, or other professional advice. If any of the risks described are unacceptable to the User, the User should not use the Services. Additional information regarding risks associated with the Services may be made available in a separate risk disclosure or disclaimer published on the Website. The User acknowledges and agrees that the Services are accessed and used entirely at the User's own risk.

Trademarks and Intellectual Property

The User acknowledges that all rights, title, and interest in and to the Website, the Services, and any related intellectual property, including but not limited to software, source code, databases, designs, text, graphics, logos, trademarks, trade names, domain names, content, materials, and layouts, are owned by or lawfully licensed to the Platform Operator and are protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, the User is granted a limited, non-exclusive, non-transferable, revocable right to access and use the Website and the Services solely for personal, lawful, and non-commercial purposes. Any other use of the Website, the Services, or any content made available through them is strictly prohibited.

The User may not copy, reproduce, modify, adapt, distribute, transmit, display, perform, publish, license, sell, or otherwise exploit any content or materials derived from or made available through the Services without the prior written consent of the Platform Operator.

Without prejudice to the right of the User or any third party to challenge the validity of any intellectual property rights, the User shall not perform, authorize, or assist any act that would infringe, invalidate, or be inconsistent with any intellectual property rights of the Platform Operator, including but not limited to copyrights, trademarks, patents, designs, or other proprietary rights.

The Website may contain links to third-party websites or resources. Such third-party websites are not under the control of the Platform Operator, and the Platform Operator does not assume any responsibility for the content, accuracy, legality, availability, or practices of such third-party websites or resources. The inclusion of any link does not imply endorsement or affiliation.

The User undertakes to promptly notify the Platform Operator of any actual, suspected, or threatened infringement of intellectual property rights relating to the Website or the Services that comes to the User's attention, as well as of any claims asserted by third parties in connection with the User's use of the Services.

Warranties

The Platform Operator uses reasonable efforts to ensure the proper functioning, availability, and continuity of the Website and the Services in accordance with their intended purpose. However, the User acknowledges that uninterrupted, error-free, or secure operation of the Website and the Services cannot be guaranteed at all times.

The Website and the Services are provided on an "as is" and "as available" basis, to the fullest extent permitted by applicable law. The Platform Operator expressly disclaims all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

To the extent permitted by applicable law, the User acknowledges and agrees that the use of the Website and the Services is at the User's own risk, and that the Platform Operator shall not be responsible for any interruption, delay, error, or failure in the operation of the Website or the Services.

Limited Liability

To the fullest extent permitted by applicable law, the Platform Operator, its affiliates, shareholders, directors, officers, employees, agents, contractors, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, decrease in value, business interruption, corruption or breach of data, or costs of procurement of substitute goods or services, arising out of or in connection with the use of, or inability to use, the Website or the Services, regardless of the legal theory under which such liability is asserted and whether or not the Platform Operator has been advised of the possibility of such damages.

The User acknowledges that the Platform Operator does not provide investment, financial, tax, or legal advice and shall not be liable for the actions, omissions, or services of any third parties, including but not limited to payment service providers, blockchain networks, wallet providers, liquidity providers, or other external service providers. The User is solely responsible for the selection and use of cryptocurrency wallets under their control. The Platform Operator shall not be liable for any loss resulting from the User transferring crypto-assets to an incorrect address or to a wallet not controlled by the User.

The Platform Operator shall not be responsible for delays, failures, or disruptions in the execution of Orders or provision of the Services caused by events beyond its reasonable control, including but not limited to failures of telecommunications, information systems, third-party infrastructure, blockchain networks, payment systems, governmental actions, changes in law or regulation, force majeure events, civil unrest, or other external circumstances.

Cap on Liability

To the extent permitted by applicable law, the total aggregate liability of the Platform Operator to the User for any and all claims arising out of or in connection with the Services shall not exceed EUR 100.

Exceptions

Nothing in these Terms shall exclude or limit the liability of the Platform Operator for damages resulting from its gross negligence, fraud, or willful misconduct, or for any liability that cannot be excluded or limited under mandatory applicable law. In such cases, the liability of the Platform Operator shall be limited to the minimum extent required by such law.

Indemnity

The User agrees to indemnify, defend, and hold harmless the Platform Operator, its affiliates, shareholders, directors, officers, employees, agents, contractors, and representatives from and against any and all claims, actions, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) the User's use or misuse of the Website or the Services; (ii) the User's breach of these Terms or any applicable policies; (iii) the User's violation of any applicable law or regulation; or (iv) the User's infringement of any rights of any third party.

Entire Agreement

This is the entire agreement between the parties and supersedes any other agreement, representations (or misrepresentations), or understanding, however, communicated.

Complaints Resolution

In the event of an alleged infringement of the User's rights in connection with the Services, the User may submit a complaint by contacting the Platform Operator via email at [email protected].

Complaints shall be submitted without undue delay and, where required by applicable law, no later than the statutory time limits applicable in the User's jurisdiction, calculated from the date on which the User became aware or ought reasonably to have become aware of the relevant circumstances.

The Platform Operator shall acknowledge receipt of the complaint and examine it in a fair and timely manner. The User shall be informed of the outcome of the complaint review within the timeframes required by applicable law, which may vary depending on the jurisdiction, nature of the Services, and the regulatory status of the relevant Platform Operator.

Where the Services are provided to consumers, the Platform Operator shall comply with all mandatory consumer protection and complaint-handling requirements applicable in the relevant jurisdiction, including response deadlines and escalation procedures.

This complaints procedure does not prejudice the User's right to seek redress through competent supervisory authorities, alternative dispute resolution mechanisms, or courts, where such rights are granted under applicable law.

Applicable Legislation and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the relevant Platform Operator is incorporated and from which the Services are provided to the User, without regard to its conflict of laws principles.

Any claim, dispute, or cause of action arising out of or in connection with these Terms or the User's use of the Services shall be subject to the jurisdiction of the competent courts of the jurisdiction applicable to the relevant Platform Operator, as identified at the time the Services are provided to the User.

The User agrees to submit to the personal and non-exclusive jurisdiction of such courts, unless mandatory consumer protection laws applicable to the User require otherwise.
